ABC & Liquor Licensing

Original applications, license-type transfers, and protest defense before the California Department of Alcoholic Beverage Control. Advisory on tax holds, escrow conditions, and license-stack strategy for hospitality and retail operators.

How the work is shaped

ABC licensing is a quiet, technical practice. Most failures are escrow failures: a tax hold discovered too late, a protest filed by a competitor inside the 30-day window, a transfer terms agreement that did not match the actual purchase contract. The work is largely defensive — anticipating each of these and resolving them before they impair the deal timeline.

The practice is most useful where ABC licensing intersects with another regulatory regime — fuel/convenience operators adding off-sale beer and wine, cannabis-adjacent hospitality concepts, multi-county portfolio acquisitions where the licenses, the leases, and the local CUPs all need to close on the same day.
